Our client is currently looking for a Counsel with significant experience setting up alternative investment funds to join our Hong Kong office.

With lawyers operating from more than 20 locations, working in virtually every country of the world, they have invested heavily in building a high-quality full-service practice competing at the top of the market. 

Duties and Accountabilities

  • Advising on structuring private closed-end and open-end funds
  • Drafting term sheets
  • Drafting and negotiating fund documentation including PPMs, LPAs, Articles, investor side letters, legal opinions, subscription agreements and advisory agreements
  • Advising and issue spotting on regulatory matters
  • Conducting and overseeing legal research
  • Providing education and training to more junior associates 

Qualifications 

  • 7+ years of Investment Funds experience
  • US qualified preferred 
  • Experience in private PE-style fund formation and co-investment transactions and related work from an international law firm in the US or Hong Kong
  • Familiarity with US and EU regulatory matters relating to private funds; and
  • Experience in setting up carry compensation arrangements and advising on the establishment of asset management businesses would be a bonus
  • Fluency in English
  • Fluency in Mandarin and ability to read and write Chinese preferred
